TERMS AND CONDITIONS (B2B)

Fragranta Ltd.


1. Scope and Business Customers

These Terms and Conditions (“T&C”) apply to all business relationships between:

Fragranta Ltd.

Bulgaria

(“Fragranta”) and its customers (“Customer”).

Fragranta sells exclusively to entrepreneurs (B2B). By placing an order, the Customer confirms acting in the course of a commercial or independent professional activity.


2. Contract Formation

  • Product listings do not constitute binding offers
  • Orders placed by the Customer represent a binding offer
  • A contract is concluded only upon written confirmation (email or invoice) by Fragranta

Fragranta reserves the right to reject any order without stating reasons.


3. Prices and VAT

  • All prices are exclusive of VAT
  • VAT is not charged pursuant to:
    Art. 53 Bulgarian VAT Act – Intra-Community Supply (Reverse Charge)
  • The Customer is responsible for VAT reporting and payment

4. Currency

All prices and payments are processed exclusively in Euro (EUR).

The Customer bears any:

  • Currency conversion costs
  • Bank or transfer fees

5. Payment Terms

  • Payment is made in advance via bank transfer
  • Orders are processed only after full payment is received
  • Fragranta reserves the right to cancel unpaid orders

6. Minimum Order Value and Fees

  • No minimum order value applies
  • Orders below EUR 500 are subject to a handling and logistics fee of EUR 9.90

7. Product Availability

All orders are subject to availability.

Fragranta reserves the right to:

  • Partially fulfill orders
  • Cancel unavailable items

No liability is assumed for unavailable products.


8. Delivery and Shipping

All goods are shipped from the Czech Republic.

Delivery terms: EX WORKS (EXW).

Fragranta may organize shipping as a service only, on behalf of the Customer.


9. Transfer of Risk and Transport Liability

  • Goods are not insured by Fragranta
  • Risk transfers upon handover to the carrier
  • Fragranta is not liable for transport damage, loss, or delay

10. Claims and Damage Handling

  • Claims must be submitted within 3 working days
  • Visible damage must be documented by the carrier upon delivery
  • Claims require photo evidence

Without proper documentation, claims may be rejected.

If insured:

  • Insurance is handled by the carrier
  • Compensation is forwarded via Fragranta
  • No direct refunds are issued by Fragranta

11. Delivery Delays

  • Contact Fragranta at the earliest after 3 working days without tracking updates
  • Investigations at the carrier can take up to a month
  • Replacements or compensation are contingent upon the carrier's investigation results and cannot be granted until the carrier has completed its investigation

12. Retention of Title

Goods remain the property of Fragranta until full payment is received.


13. No Returns Policy

All sales are final.

Returns are accepted only if proper claim procedures have been followed.

No returns for:

  • Unsold goods
  • Market conditions
  • Packaging or batch differences

14. Product Authenticity and Brand Disclaimer

  • Fragranta expressly distances itself from counterfeit, imitation, and plagiarized products.
  • Unless explicitly stated otherwise, Fragranta is not an authorized distributor of the respective brands.
  • All trademarks, brand names, and logos are the property of their respective owners.

15. Batch and Packaging Variations

  • Batch codes, packaging, or labeling may differ
  • Manufacturers may change packaging
  • Minor variations are not defects

16. Product Condition

  • Products are sold in commercial condition
  • Minor packaging defects may occur
  • No guarantee on shelf life

17. Resale Responsibility

The Customer is responsible for:

  • Legal compliance in their market
  • Labeling and safety requirements

Fragranta assumes no liability.


18. Selective Distribution

  • No guarantee for resale rights
  • Customer must ensure compliance with brand policies

19. Export Responsibility

The Customer is responsible for:

  • Import legality
  • Customs compliance

Fragranta assumes no liability.


20. No Warranty for Marketability

Fragranta does not guarantee suitability for:

  • Amazon, eBay, or other platforms

21. Chargeback Protection

  • Payments are final and irrevocable
  • Chargebacks are prohibited

Fragranta may:

  • Take legal action
  • Recover costs
  • Block accounts

22. Anti-Fraud and KYC

Fragranta may request:

  • Company documents
  • VAT ID
  • Identity verification

Orders may be rejected if verification fails.


23. Fraud Prevention

Fragranta may:

  • Monitor transactions
  • Delay or cancel suspicious orders

24. Customer Account

Customers must:

  • Keep login data secure

Fragranta may block accounts at any time.


25. Right to Refuse Customers

Fragranta may:

  • Reject customers
  • Suspend or terminate business relationships

26. Liability

Liability is limited to:

  • Intent
  • Gross negligence

All other liability excluded where legally permitted.


27. Jurisdiction and Law

  • Jurisdiction: Bulgaria
  • Applicable law: Bulgarian law (excluding CISG)

28. Severability Clause

Invalid provisions do not affect remaining terms.


29. Final Provisions

All amendments must be made in writing.
